Poland’s Office of Competition and Consumer Protection (UOKiK) has recently approved six acquisitions on a range of markets, including the energy, aircraft engine service and IT markets. A case on the fuel and air filters market required proceedings to be prolonged for further market study.

In the most complex of its proceedings, UOKiK ultimately approved Mann + Hummel to acquire Affinia Group Holdings. Both companies produce and sell oil filters, fuel and air filters for passenger cars, vans and trucks, among their other products. In November 2015 UOKiK concluded that further market study would be needed in the case, and therefore prolonged the proceedings. The subsequent analysis showed that the concentration would not adversely affect competition. If prices increase or sales conditions deteriorate on the Polish market, the country’s filter distributors will have no problem importing products from other EU-based manufacturers, which command significant market power and would be able to compete capably with Mann + Hummel.

Elsewhere, heat and energy producer PGNiG TERMIKA has been approved to acquire Przedsiębiorstwo Energetyki Cieplnej in Jastrzębie-Zdrój (the Jastrzębie-Zdrój Thermal Power Company), which in addition to its capacity as producer, also distributes and sells heat.

On the warehouse rental market, GLL Hana Private Real Estate Poznan Holding, of Luxembourg, has been cleared to take over Amazon Fulfillment Poznań. The latter rents warehouse space in the city of Sady, and is a member of the Amazon Capital Group, which engages in e-commerce through online shop amazon.com.

On the aircraft engines service market, Lufthansa Technik and GE Engine Services have been cleared to create a joint undertaking. The new entity is being formed to service Boeing 747-8 engines and, in the future, Boeing 777X engines.

UOKiK has also approved US-based Ingram Micro’s bid to acquire RRC Poland. Both companies engage in the wholesale distribution of IT products and solutions in Central and Eastern Europe.

Finally, Polskie Koleje Państwowe (Polish State Railways) and Trios Dutch Holdings have been cleared to form a joint venture that will build office, services and commercial space and a hotel in Poznań.
