Poland's UOKiK approves concentration on cash machine market

Competition Authority approves Diebold-Wincor Nixdorf concentration. Both companies sell and service ATMs

Poland’s Office of Competition and Consumer Protection (UOKiK) received an acquisition application from American company Diebold to take control of Wincor Nixdorf of Germany. In addition to selling and servicing ATMs, both companies offer software and business services for the financial sector. Under the terms of the transaction, Diebold will use a public tender to acquire all of Wincor Nixdorf’s shares.

In verifying the information provided by the two companies, UOKiK performed a thorough market study. During the second phase of the proceedings the Authority analyzed data collected from 49 of the companies’ competitors and consumers of their products and services, including banks.

The analyses showed that while the two companies’ combined share in some markets exceeds the statutory threshold of 40 per cent, competition will not be restricted.

In assessing the transaction, UOKiK took into account the individual character of the markets and particularly the existence of concentrated demand, as it exerts significant pressure on the market. It also looked carefully at the rules governing the markets, which show that suppliers are selected mainly through tenders. Their market share therefore depends on winning bids and may be highly volatile. The presence of a strong competitor, NCR group, which operates in 120 countries and offers a similar range of goods and services, was another important important factor.

According to UOKiK President Marek Niechciał, “A comprehensive analysis of the effects of this particular acquisition showed that, despite the considerable market share involved, competition will not be significantly limited. Therefore, Diebold and Wincor Nixdorf have the green light.
