Concentrations: seven decisions

In the first quarter of 2014 UOKiK issued 42 decisions concerning concentration control. The latest ones involved companies such as, inter alia, Robyg, Ferrostal Łabędy, ABC Data, OT Logistics, Rondo 1 UG, Medivet and the Industrial Development Agency
Pursuant to the law, a transaction is subject to notification to the anti-monopoly authority if it involves entrepreneurs whose combined turnover generated in the preceding year exceeded EUR 1 billion worldwide or EUR 50 million in Poland.
One of the recently issued decisions concerns taking control over Robyg by LB William II. The company that is the subject of the take-over acts as a developer, mainly in Warsaw and in the Tri-City region. LBPOL William II is the current co-owner of Robyg, and will take full control over the company as a result of the concentration.
The company Ferrostal Łabędy, dealing primarily with the production of semi- and fully finished steel products, has been also authorized to proceed with the concentration. It has been allowed to take over Zakład Wytwórczy Profil - manufacturer of hot rolled products (smooth, flat and square steel rods, as well as T-bars). Following the concentration, Ferrostal Łabędy will hold over 52% of the shares of ZW Profil. The remaining shares will belong to the workforce of the company being taken over.
Another decision concerns ABC Data’s take-over of iSource. ABC Data is the leader of the capital group comprising companies registered in Poland, the Czech Republic, Slovakia, Lithuania, Hungary, Romania and Germany. They deal, inter alia, with production and wholesale of computer hardware. iSource is a wholesaler and an authorized Polish distributor of Apple products. The transaction is to consist in the purchase of 100% of iSource’s shares by ABC Data.
The company OT Logistics has been greenlighted to proceed with its take-over as well. Its main activity consists in offering inland water transport services on the Oder river. The company will be allowed to take over BTDG - Bałtycki Terminal Drobicowy Gdynia (Baltic Bulk Terminal in Gdynia), which offers transhipment services in the port of Gdynia. OT Logistics is expected to acquire 100%of BTDG shares.
The President of the Office has also authorized Industrial Development Agency to take over Zakłady Górniczo-Metalowe Zębiec. The Industrial Development Agency is a governmental entity established to support the restructuring of businesses and to help them adapt to the requirements of international competition. It is also active on the market as a commercial law company. Zakłady Górniczo-Metalowe Zębiec is a single-person State Treasury company, which core activity consisting in the production and sale of solid fuel fired central heating boilers.
Another decision concerns Rosedale Investments and Medivet. Rosedale Investments belongs to the Henry Schein Group - an owner of over 250 subsidiaries. The group deals with distribution of dentistry products, medicinal products for humans, as well as veterinary products. Medivet’s core business consists in importing and distributing health products and pet food.
The last decision concerns the acquisition of some of the Rondo GP’s property by Rondo 1 UG. The acquiring company’s business activities include, inter alia, purchase and sale of real estate. Rondo GP leases office and commercial space in the Rondo 1 office building in Warsaw. The concentration will consist in Rondo 1 UG acquiring some of the property of Rondo GP, in the form of real estate and other rights belonging to the company.
Having conducted anti-monopoly proceedings, the President of the Office decided that the concentrations in question would not result in a considerable restriction of competition.
The decisions authorizing the concentrations expire if the mergers are not performed within 2 years from their issuance.
