Concentrations: decisions in 2014

The President of the Office of Competition and Consumer Protection issued 18 decisions concerning the control of concentration in the early 2014. The most recent decisions pertain to, inter alia, the pharmaceutical, dairy, telecommunications sectors as well as retail and wholesale trade in convenience goods
In accordance with the applicable regulations the transaction is subject to the notification of the anti-monopoly authority of it involves entrepreneurs whose combined turnover generated in the preceding year exceeded EUR 1 billion worldwide or EUR 50 million in Poland.
One of the recent decisions pertain to BRL Center-Polska taking over the control over companies owned by ACP Pharma. The participants of the transaction deal are engaged in retail sales of pharmaceutical products in pharmacies. BRL Center-Polska is a member of the Penta Investments Group. The entrepreneurs being taken over are: Cefarm ¦l±ski-Katowice, Cefarm ¦l±ski, Cefarm Zielona Góra, Cefarm Rzeszów, Mediq Polska and Pharma Nova.
The President of UOKiK also consented to Emitel’s acquisition by Alinda Capital Partners. The acquiring company is an investment fund which belongs to the capital group that, among other things, handles private equity investments in entities operating in infrastructural sectors, e.g. airports and ports in Europe and North America. Among other things Emitel renders services such as broadcasting programs for TV and radio stations.
Another decision pertains to Bać-Pol taking over the control over Serpol. Both entrepreneurs are engaged in retail and wholesale trade in consumer convenience goods. Bać-Pol also owns two networks of retail stores: Spar and Słoneczko.
Also Tresento Holdings was given the President’s consent. It is a member of the capital group of Nerijus Numavicius, Lithuanian entrepreneur, composed of, inter alia, a dozen or so Polish companies operating in different sectors. The entity to be acquired is Przedsiębiorstwo Produkcyjno-Handlowo-Usługowe Edbol, that operates 10 retail stores under the brand name of AS Market in Bydgoszcz.
A green light was also given to DMK Deutsches Milchkontor and Mlekoma which produce and sell dairy products. They will be able to merge and form a new entrepreneur together.
The last decision pertains to Tell’s take over by Neo Investment. Neo Investment renders, among other things, business and management advisory services. In its operations Tell mosty focuses on acting as an agent selling telecommunications services offered the Orange network operator, via the network of authorized outlets.
Having conducted anti-monopoly proceedings the President of the Office decided that the concentrations will not lead to the significant restriction of competition.
The decisions authorizing the concentration expire if the merger is not effected within 2 years from their issue.
