Consent to concentration - takeover of Statoil

The President of UOKiK has given her consent to the takeover of Statoil Fuel & Retail by Alimentation Couche-Tard

Alimentation Couche-Tard is the owner of daily use products chainstore operating in Northern America. The undertaking is composed of small shops and deals with sale of car fuels. Additionally, the company grants the licence to establish such outlets inter alia in China, Indonesia and Mexico. Statoil Fuel & Retail has a network consisting of over 2 thousand fuel stations in the territory of Scandinavia, Poland, Baltic states and Russia. The concentration will result in Alimentation Couche-Tard acquiring the sufficient package of shares to exercise control over Statoil Fuel & Retail.

Under law a transaction is subject to notification to the antitrust authority, if it involves undertakings whose total turnover in the preceding year exceeded EUR 1 billion worldwide and EUR 50 million in Poland

Having conducted the antimonopoly proceedings, the President of the Office determined the concentration would not significantly restrict competition.

Under the law, a transaction is subject to notification to the antitrust authority if it involves undertakings whose total turnover in the preceding year exceeded EUR 1 bln worldwide or EUR 50 mln in Poland.

In the event the concentration (to which a consent was issued) is not implemented within 2 years from the decision issuance, such a decision is no longer valid. The Office’s website contains the data on all antimonopoly proceedings in concentration cases.
