Consent to concentration - acquisition of Empik

Penta Investments will be allowed to exercise control over Empik, together with the company’s current owner. As the transaction participants operate at different markets, the President of UOKiK decided that the concentration will not result in restriction of competition

On 13th March 2012 UOKiK received notification concerning the intention of taking control over NFI Empik Media & Fashion. The acquiring company belongs to Penta Holding with its registered Office in Cyprus. In Poland the entity owns the following companies: Fortuna Zakłady Bukmacherskie, Alpha Medical Laboratoria, Okna R±bień, Igloport, Nordfish and Lewil-Iglokrak. NFI Empik Media & Fashion is the leader of the capital group and owns, among others, Empik sales network, Smyk as well as e-shop – Empik.com. The majority of Empik’s shares is in possession of Eastbridge – a company seated in Luxembourg.

As a result of this concentration, Penta Investents will take control over NFI Empik Media & Fashion, and exercice joint control with Eastbridge.

Under law a transaction is subject to notification to the antitrust authority, if it involves undertakings whose total turnover in the preceding year exceeded EUR 1 billion worldwide and EUR 50 million in Poland

Having conducted the antimonopoly proceedings, the President of the Office granted her consent to concentration. Penta group and Empik operate at different markets and for this reason the concentration will not result in restriction of competition.

Under the law, a transaction is subject to notification to the antitrust authority if it involves undertakings whose total turnover in the preceding year exceeded EUR 1 bln worldwide or EUR 50 mln in Poland.

At the same time we inform you that the Office’s website includes information on all antitrust proceedings in concentrations cases conducted by the Office.

In the event the concentration to which consent was issued is not implemented within 2 years from the decision issuance, then such decision is no longer valid. The Office’s website includes the data on all antitrust proceedings in concentration cases. For more information on concentration rules, please follow the specially drawn up materials.
