Consent to concentration - PGNiG and Vattenfall

The President of UOKiK has issued her consent to the takeover of Vattenfall by Polskie Górnictwo Naftowe i Gazownictwo (PGNiG)

PGNiG operates mainly in locating and exploring crude oil and natural gas as well as imports, stores and sells gas fuels. Vattenfall Heat Poland deals with production of electric energy as well as the production and distribution of heat. The entity owns three heat and power plants (including Żerań and Siekierki) and two big heating plants (Wola and Kawęczyn). As a result of the concentration PGNiG will acquire 98,84 percent of shares of Vattenfall Heat Polska.

Under law a transaction is subject to notification to the antitrust authority, if it involves undertakings whose total turnover in the preceding year exceeded EUR 1 billion worldwide and EUR 50 million in Poland

Having conducted the antimonopoly proceedings the President of the Office determined that the concentration will not result in a significant restriction of competition.

Under the law, a transaction is subject to notification to the antitrust authority if it involves undertakings whose total turnover in the year preceding the notification exceeded EUR 1 billion worldwide and EUR 50 million in Poland.

Decisions granting the consent to implement a concentration shall expire if the transaction has not been perfomed within 2 years of their issuance.
