UOKiK consents eight decisions

Energa Invest and Supply Board International Investments may jointly build a gas power plant, and Systexan may take over X-Trade Brokers. Green light was also given to six other undertakings: Fiat Auto Poland, Emperia Holding, Atic Services, TDJ, Alchemia and Mondi
Energa Invest is a subsidiary of Energa, a company from Gdańsk, responsible, inter alia, for the program of construction of gas power generation sources. Electricity Supply Board International Investments operates in the area of capital investments in companies involved in the production of electricity and management of power stations. Participants of the concentration may create one joint entity so as to implement the project of construction and subsequent operation of a gas power plant to be set up in 2016 near Grudziądz or Gdańsk.
President of the Office also issued a consent for taking control over X-Trade Brokers (XTB) by Systexan. Systexan belongs to the capital group controlled by the Polish Enterprise Fund VI, whose companies conduct the activity focused on the acquisition of shares of companies from different industries. The field of the X-Trade Brokers' activity is trading in OTC derivative financial instruments for retail clients as well as brokerage. After the transaction Systexan will have joint control over XTB together with the previous shareholder - XX ZW Investment Group.
The competition will not be impeded by the takeover of Gestin Poland by Fiat Auto Poland. Fiat Auto Poland is involved in the production and sale of cars. Gestin Poland operates in the market of real estate services, inter alia, it provides services to maintain facilities, rental, repairs and so-called facility management (e.g. cleaning works, maintenance of green areas, snow removal).
Consent was also given to Emperia Holding to take over Aldik Nova. Emperia Holding through its dependent undertakings is involved inter alia, in retail and wholesale of everyday products; it also supervises franchise networks: Groszek, Milea, Lewiatan and Drogerie Koliber. Aldik Nova sells everyday products in Lubelskie Voivodeship.
Another decision concerns the companies Atic Services and Morski Terminal Masowy Gdynia (MTMG). Atic Services is an established in Europe provider involved in transport management as well as handling and storage of cargo at seaports. Morski Terminal Masowy Gdynia (MTMG) is the operator of the universal port terminal handling primarily bulk cargo. The transaction will consist in Atic Services acquiring 100 percent of shares in MTMG.
Furthermore, the Office has no objections about the takeover of Remag by TDJ. The latter is the head of the capital group which covers 30 entities operating mainly in heavy industry, including manufacturers of mining machinery and steel structures. Remag deals mainly with the production of paving combines used in mining and underground construction.
Moreover, the President of the Office has agreed to the purchase by Alchemia of the part of property of ISD Huta Czestochowa - in the form of Pipe Production Plant and the acquisition by Mondi of Smurfit Kappa Paper Sack Polska - undertakings deal with the production and sale of industrial bags.
Upon the completion of the antitrust proceedings, the President of UOKiK has decided that the concentrations will not significantly restrict competition.
Under the regulations in force, the transaction is subject to a notification submitted to the antitrust authority if the transaction participants' total turnover in the year preceding the notification exceeded EUR 1 billion worldwide or EUR 50 million in Poland.
