UOKiK consents six decisions
< previous | next > 10.12.2010
Warsaw Promenada Shopping Mall is allowed to change hands. Competition will also not be infringed by the takeover of the Internet Electricity Trading Platform. Furthermore, four other transactions have been granted consent by the President of UOKiK
According to the decision of the President of the Office, MD Poland I is allowed to purchase Promenada Shopping Mall. MD Poland I belongs to Atrium European Real Estate Limited capital group, which is the owner, among others, of shopping malls in a dozen of Polish cities, including Reduta and Targówek in Warsaw. Savana Investments and Poldrim are the owners of Promenada; they also own shopping malls in Gdańsk, ŁódŒ, Toruń and Sosnowiec.
The second consent concerns the acquisition by the Warsaw Stock Exchange, the National Depository for Securities and WSEInfoEngine a part of property of Elbis in the form of the Internet Electricity Trading Platform. WSEInfoEngine is a dependent undertaking of the Warsaw Stock Exchange; the National Depository for Securities operates in the field of, inter alia, registration of securities and settlement of transactions carried out in stock exchange. The operation of PTE covers, among others, trade in electricity, CO2 emission allowances and operation of the Biomass Trading Platform.
The Office has also no objections about the takeover by Iglotex of: LMJ and LMJ Holding. Iglotex operates in the field of manufacture and distribution of frozen ready-made products – mainly pizza, French bread pizza, potato and flour products. LMJ and LMJ Holding also specialises in the production of frozen foodstuffs, mainly fish. As a result of transaction, Iglotex will acquire shares assuring them the right to 100% of votes during shareholder meetings of LMJ and LMJ Holding.
The President of UOKiK has also granted consent to HEPP IV Management and Neinver Polska to create one joint undertaking. The participants of the concentration operate, among others, in the field of purchase, sale, rental and management of real estate. The goal of the transaction consists in the ownership of 100% of shares in the initial capital of Neinver, which is the owner of Galeria Malta shopping mall in Poznań.
Another transaction concerns a takeover of Fabryka Sklejka-Pisz by Paged. Paged operates in the field of plywood and wood-based panels; its dependent undertaking – Paged-Sklejka – and Sklejka-Pisz are the manufacturers of these products. The intended concentration is aimed at the establishment of a capital group capable of competing on the global market.
The last decision regards fuel market. Competition within the territory of Poland will not be violated by the takeover of Oy Shell Ab and AB Svenska Stell by Keele Oy.
Upon the completion of the antitrust proceedings, the President of UOKiK has decided that the concentrations will not significantly restrict competition.
Under the regulations in force, the transaction is subject to a notification submitted to the antitrust authority if the transaction participants' total turnover in the year preceding the notification exceeded EUR 1 billion worldwide or EUR 50 million in Poland.
We would also like to inform you that information on all antitrust proceedings related to mergers and acquisitions carried out by UOKiK is available at the website of the Office.
