Concentration control - five decisions of UOKiK

Polnord and Gdańsk commune will be able to jointly construct the Museum of Amber and develop Wyspa Spichrzów. The President of UOKiK has granted consent to implement concentrations on the financial market, sale of cosmetics and feedingstuffs.
Polnord and Gdańsk commune have been given a consent to create one joint undertaking. The new entity will develop the land on the northern promontory of Wyspa Spichrzów in Gdańsk. The planned undertaking consists in the construction of a residential and service complex, the Museum of Amber and public infrastructure.
The President of UOKiK has granted her consent for the establishment of a new undertaking by three financial institutions: The National Capital Fund, Black Lion Narodowy Fundusz Inwestycyjny and Assets Management Black Lion. As a result of the concentration, an entity will be created that will make investments in small and medium-sized enterprises conducting research and development activity.
The next decision concerns Delko, the undertaking listed on the Warsaw stock exchange. The entity conducts wholesale and retail sale of chemical and personal care products and is allowed to take over two entities operating in the same branch: Cosmetics from Łomża and Frog MS Delko from Kraków.
Furthermore, UOKiK has no objections to De Heus’s takeover of Evialis Polska. The concentration participants deal with production and sale of feedingstuffs and feed concentrates.
Upon the completion of the antitrust proceedings, the President of UOKiK decided that the concentrations will not significantly restrict competition in Poland.
Under the regulations in force, the transaction is subject to a notification submitted to the antitrust authority if the transaction participants' total turnover in the year preceding the notification exceeded EUR 1 billion worldwide or EUR 50 million in Poland.
Information on all antitrust proceedings related to concentrations conducted by UOKiK is available on the Office’s website.
At the same time, we would like to inform that the draft Clarifications on notification of intended concentration to the President of UOKiK has been published on the Office’s website. Our experience shows that the delivered documents are often accompanied by requests of undertakings regarding clarification of provisions governing notification of intended concentration. In response to those inquiries, the Office of Competition and Consumer Protection has drawn up the Clarifications, which should raise legal awareness of the obligation to notify of the intended concentration, as well as facilitate interpretation of the provisions regulating the notification procedure. In the opinion of the Office, publication of the Clarifications will facilitate preparation of applications and thus accelerate decisions issued by the President of UOKiK.
