Concentration control - eight decisions of UOKiK

Akson, ATM and TVN may shoot a film about the Warsaw Uprising together. The President of UOKiK has also allowed the transactions on the following markets: electrotechnical equipment, consulting services, steel products, production of paint and investment funds
Akson, ATM and TVN may also create an undertaking called “Film Miasto” [“The City Movie”]. Film and television production is the common initiative of the concentration participants. The newly established entity will deal with production and distribution of a feature film about the Warsaw Uprising.
The second consent concerns the establishment of one joint undertaking by TPV Technology Limited and AU Optronics Corporation. TPV Technology Limited designs and produces TV sets and computer monitors. AU Optronics Corporation produces components used in monitors and other computer and TV equipment. The new entity with the seat in Gorzów Wielkopolski, will operate under the name BriVictory Display Technology.
The President of UOKiK does not have any reservations to the creation of one joint undertaking by PricewaterhouseCoopers Eastern Europe and Competitive Capabilities International. The first participant of the concentration belongs to the global organisation PricewaterhouseCoopers. Its entities deal i.e. with financial consulting. Competitive Capabilities International i.a. sells licences for the TRACC programme, which enhances the operative efficiency of businesses. The undertakings intend to establish an entity in Poland, which will provide TRACC-related consulting services in the countries of Central and Eastern Europe.
Consent has also been issued for two merging undertakings - Konsorcjum Stali and Bowim, dealing i.a. with production and distribution of steel products and construction reinforcements. The transaction aims at creating a national distribution network for steel products.
The President of the Office has also given the consent for taking over Becker Industrial Products by Sherwin-Williams. The undertakings operate on the market of production and sales of paints and varnishes. Becker Industrial Products is controlled by AB Wilh. Becker. As a result of the concentration, Sherwin-Williams will also exert control over Becker Acroma Polska.
Another decision concerns the Berker's takeover by Hager. Both undertakings operate on the market of electrotechnical appliances and equipment. They produce i.a. electrical relays and lighting control systems for buildings.
Moreover, two transactions on the investment fund market were approved. TFI Fortis Private Investments may take over Open Investment Fund Fortis, and Forum TFI may acquire Spatium Aktywów Niepublicznych II Fundusz Inwestycyjny Zamknięty.
Upon the completion of the antitrust proceedings, the President of UOKiK decided that the concentrations will not significantly restrict competition in Poland.
Under the existing regulations, a transaction is subject to a notification submitted to the antitrust authority if the transaction participants' total turnover in the year preceding the notification exceeded 1 billion euro worldwide or 50 million euro in Poland.
Information on all antitrust proceedings related to concentrations carried out by the Office is available at the website https://uokik.gov.pl/koncentracje.php .
At the same time, we would like to inform that the draft Clarifications on notification of intended concentration to the President of UOKiK has been published on the Office’s website. Our experience shows that the delivered documents are often accompanied by requests of undertakings regarding clarification of provisions governing notification of intended concentration. In response to those inquiries, the Office of Competition and Consumer Protection has drawn up the Clarifications, which should raise legal awareness of the obligation to notify of an intended concentration, as well as facilitate interpretation of the provisions regulating the notification procedure. In the opinion of the Office, publication of the Clarifications will facilitate preparation of applications and thus accelerate issuing of decisions by the President of UOKiK.
