UOKiK's consents:  Agora, Electro World, Skyline Venture, Coltex St., Credit Life International Services

Agora may take over Centrum Filmowe Helios, and SPV may acquire Electro World, stated the President of UOKiK. The green light has also been given to undertakings operating on capital investments, cell phone services and insurance agency markets

Agora is the parent company of a group consisting of 14 undertakings operating e.g. in the field of publishing newspapers and magazines and radio broadcasting. Centrum Filmowe Helios, with Kinoplex, its subsidiary, runs cinemas in over twenty Polish cities, including Femina in Warsaw and Bałtyk in ŁódŒ. The transaction shall consist in acquiring 84% of Helios shares by Agora.

The President of UOKiK has also given the consent for acquisition of Electro World by SPV from its current owner, Mix Electronics. To date, SPV has not been very active, it is its first investment. Electro World, the undertaking to-be-taken, sells household appliances and audio/video devices. It has eight large format stores in Poland.

Another decision concerns the creation of one joint undertaking by Skyline Investment and Krajowy Fundusz Kapitałowy. Skyline Investment provides financial consulting and capital investment services. Krajowy Fundusz Kapitałowy provides financial support for high-risk funds. The new entity, Skyline Venture, will make capital investments in small and medium-sized enterprises.

The President of UOKiK has also allowed the transaction between Coltex Rogala and Star Telecom. The undertakings deal in mobile phone services as well as telephones and accessories – they are authorised partners of Polkomtel (the owner of Plus mobile network). Consequently to the concentration, a new entity, Coltex St., will be created, with 64.11% of shares held by Coltex Rogala, and 35.89% held by Star Telecom.

Moreover, Proactiv Holding and RheinLand Holding may create a joint undertaking. The undertakings operate in the field of i.a. insurance distribution. The main objective of the new company, Credit Life International Services, will be to serve as an agent in sales of insurance securing liabilities.

Upon the completion of antitrust proceedings, the President of UOKiK decided that the concentrations will not significantly restrict competition in Poland.

Under the existing regulations, a transaction is subject to a notification submitted to the antitrust authority if the transaction participants' combined turnover in the year preceding the notification exceeded 1 billion euro worldwide or 50 million euro in Poland.
