Concentrations - four decisions

Fiat Powertrain Technologies may acquire 50% of shares of Fiat-GM Powertrain Polska undertaking from General Motors LLC. The President of UOKiK has also given her consent for takeover of coal mine Brzeszcze-Silesia Ruch II by Przedsiębiorstwo Górnicze Silesia. The green light was also given to undertakings operating in the banking and mobile phones sales sectors.
Fiat Powertrain Technologies (FPT) produces different types of car engines. Fiat-GM Powertrain Polska installs small, 1.3 litre diesel engines, as well as engine parts. The transaction will consist in FPT acquisition of 50% of Fiat-GM Powertrain Polska shares from its current owner - General Motors LLC. As a result, Fiat Powertrain Technologies will have independent control over the target company.
The President of UOKiK has also issued a consent for the acquisition of a part of Kompania Węglowa property, that is the coal mine Brzeszcze-Silesia Ruch II in Czechowice-Dziedzice by Przedsiębiorstwo Górnicze Silesia. PG Silesia is a member of Energetický a Prümyslowý Holding which incorporates over 20 undertakings, mainly from the Czech Republic and Slovakia, operating inter alia within the electric energy sector. KWK Brzeszcze-Silesia Ruch II is a brown coal mine.
Another consent concerns the acquisition of WestLB Bank Polska by PL Holdings. PL Holdings was established for this very transaction by an investment fund - Arbis Fund – which in Poland owns i.a. FM Bank, an undertaking rendering services to small enterprises. WestLB Bank Polska specialises in wholesale corporate and investment banking. Its offer is mainly addressed to large undertakings and territorial self-government authorities.
Moreover, Inter-Consult and C&C Partners Telecom can create one joint undertaking. The participants of the concentration deal in mobile phone services as well as telephones and accessories – they are authorised partners of Polkomtel (the owner of Plus mobile network). As a results of the transaction, one joint undertaking operating under the name Telplus will be created. Inter-Consult will acquire 60% of shares and C&C Partners Telecom - 40%.
Upon the completion of antitrust proceedings, the President of UOKiK decided that the concentrations shall not significantly restrict competition in Poland.
Under the existing regulations, a transaction is subject to a notification submitted to the antitrust authority if the transaction participants' combined turnover in the year preceding the notification exceeded 1 billion euro worldwide or 50 million euro in Poland.
