Takeover Consents Issued

The President of UOKiK has issued additional consents to implement concentrations. Polsat Cyfrowy takes over mPunkt Holdings, UniCredit acquires CECH and Samsung Electronics turns for acquiring a part of Amica’s property. These actions shall not significantly impede competition in the territory of Poland. Transactions in the building and steel products sectors are also likely to be performed.

Polsat Cyfrowy mainly provides services related to chargeable distribution of encrypted television channels. It is also a mobile virtual network operator (virtual network operators render services basing on a network owned by another undertaking). mPunkt Holdings, the acquired entity, owns mPunkt company, conducting its activity in the scope of mobile phone services and selling telephones with related accessories. The aim of the transaction is to expand Cyfrowy Polsat’s mobile phone service distribution network and to increase the number of customers using this service.

The second decision concerns the acquisition of Central European Confectionery Holdings (CECH) by UniCredit, one of the largest private banks in Germany. It belongs to the Unicredit Group, an international financial and banking group, which conducts its activity in Poland with 29 subsidiaries operating i.a. in banking and pension funds management. The target entity – CECH is a holding group and it owns 66% of Mieszko’s shares, a producer of chocolate and confectionery.

The President of UOKiK has also granted the consent for acquisition of a part of Amica’s property by Samsung Electronics. The undertakings produce, among others, home appliances. As part of the transaction, Samsung Electronics intends to buy washing machine and refrigerator production plants, owned by Amika.

In addition, two consents have been issued regarding the acquisition of Izolacja-Matizol, a manufacturer of tar paper products. The first decision concerns Atlas – producer of paint, lacquer, glues and building products made of plaster. Selena FM has also been given a permission to take over Izolacja-Matizol. It is a holding company managing undertakings in Poland and abroad, operating in production and sale of construction chemicals. None of these transactions shall impede competition in the market. The potentially successful implementation of concentration will depend on arrangements between the parties concerned.

The last decision regards a consent issued for the acquisition of Passat Stal by Bowim. The undertakings operate in the steel sector and distribute i.a. squares and sheet metal.

Having completed the antimonopoly proceedings, the President of UOKiK decided that the concentrations shall not significantly impede competition in Poland.

Under the existing regulations, a transaction should be notified to the antitrust authority if the combined turnover of undertakings concerned in the year preceding the transaction exceeded 1 billion euro worldwide or 50 million euro in Poland.

Simultaneously, we would like to inform that as of May 2009, the Office’s website includes information on all antitrust proceedings regarding mergers and acquisitions, carried out by UOKiK.
