Dom Polska - decision of the UOKiK

- The DOM Polska company has failed to provide information on a contemplated concentration scheme as requested by the President of UOKiK. The concentration scheme involved the takeover of control over LOB by ASSA ABLOY Entrance Systems.
- The behaviour of the company delayed the completion of a market study and hindered the early resolution of the concentration proceedings.
- The Competition Authority imposed a fine of more than PLN 26 thousand on the company.
Following the completion of antimonopoly proceedings, the Competition Authority decided to impose a fine exceeding PLN 26 thousand on the company known as DOM Polska. The undertaking has failed to provide information on
a contemplated concentration scheme as requested by the President of UOKiK. The concentration scheme involved the takeover of control over LOB by ASSA ABLOY Entrance Systems.
The companies notified the Office of Competition and Consumer Protection of their intention to carry out the concentration scheme in March 2017. The Competition Authority requested the competitors and counterparties of both ASSA ABLOY and LOB, including the Częstochowa-based company known as DOM Polska, to submit the data and information having a significant impact on the assessment of the intentions behind this transaction as well as the market effects thereof. The parties to the transaction are one of the largest undertakings which engage in the marketing of door opening solutions, with DOM Polska being one of their major competitors. The information requested by the Competition Authority pertained, among others, to the quantity and value of sales, the manner of distribution of the products offered, the state of competition on the relevant market, attempted entries of other manufacturers (both from the EU and from other countries) to the Polish market as well as a general assessment of the contemplated concentration scheme to be carried out by ASSA ABLOY and LOB. However, DOM Polska has failed to comply with the duty to present the requested information, exceeding the specified deadline by more than 60 days. The behaviour of the company delayed the completion of
a market study and hindered the early resolution of the concentration proceedings. Following the completion of antimonopoly proceedings, the Competition Authority decided to impose a fine exceeding PLN 26 thousand on DOM Polska.
According to the provisions of applicable laws, undertakings have the obligation to provide the antimonopoly authority with all the necessary information whenever so requested. Failure to comply with this duty to provide information may result in a penalty of up to EUR 50 million being imposed upon the non-compliant undertaking by the Competition Authority.
The company has the right to appeal against the decision of the Competition Authority to the Court of Competition and Consumer Protection.
