Concentration clearance: Polska Grupa Górnicza

The President of the Office of Competition and Consumer Protection consented to taking over joint control over Polska Grupa Górnicza (PGG) by four enterprises. It will enable them to make independent decisions on certain issues concerning PGG operations. The transaction will not restrict competition.
The planned concentration consists in taking over joint control over Polska Grupa Górnicza by: PGE Górnictwo i Energetyka Konwencjonalna, Energa Kogeneracja, PGNiG Termika, and Fundusz Inwestycji Polskich Przedsiębiorstw FIZAN. The Office of Competition and Consumer Protection (UOKiK) received a request to that effect on 17 June.
The basic line of business of Polska Grupa Górnicza is extraction and sale of hard coal: steam coal and coking coal. The shareholders of PGG are the concentration participants plus Węglokoks and Towarzystwo Finansowe Silesia. The PGG is not controlled by any of the shareholders as none can decide on its operations unilaterally.
The basis of the intention of concentration is an agreement whereby the transaction participants undertook to arrive at a common position on certain decisions concerning PGG operations. The decisions will be made solely by these entities, not by all PGG shareholders. The extent of these decisions is a business secret.
UOKiK proceedings revealed that the transaction will not restrict competition and will not affect consumers.
