Second phase of PKP Cargo concentration proceeding

Deeming further market research necessary, UOKiK has extended by four months its investigation of PKP CARGO’s proposed acquisition of Orlen KolTrans and certain   Euronaft Trzebinia assets.

The participants in the transaction provide freight transport and rail sidings services and also repair rolling stock. PKP CARGO belongs to the PKP group, headed by PKP SA, state-owned railway operator in Poland. KolTrans and Euronaft Trzebinia belong to a group controlled by Poland’s leading fuel producer PKN ORLEN.

During the next phase of the proceeding, Poland’s Office of Competition and Consumer Protection (UOKiK) will review the information PKP CARGO presented about the markets the acquisition would affect.

In force since last January, Poland’s amended Competition and Consumer Protection Act lays out a two-stage proceedings model for concentration cases. While UOKiK issues a decision in the majority of cases in the first, one-month stage, it may extend a proceeding by four months to issue a decision in cases that are particularly complicated, that require additional market research to be conducted, or that concern cases covering a concentration that poses a justifiable likelihood of competition being significantly limited.

The resolution to extend a proceeding does not have any bearing on UOKiK’s ultimate decision in a case.
