Concentrations: o2 green-lighted to take over Wirtualna Polska

The President of UOKiK has issued a decision authorizing o2 to take over control of Wirtualna Polska. It was determined in the course of the proceedings that the concentration will not result in restricting competition

The application concerned with o2 taking over control of Wirtualna Polska was filed to UOKiK in November 2013. The acquiring entrepreneur belongs to a capital group headed by Grupa o2, owned by three Cypriot companies of Borgosia Investments, Bridge20 Enterprises and Jadhave Holdings. Wirtualna Polska belongs to the Orange capital group. Participants of the transaction deal, inter alia, with publishing Internet portals. The concentration is to consist in o2 acquiring 100 per cent of shares of Wirtualna Polska.

The Internet advertising market is the area on which both participants of the concentration scheme operate and generate profit. The proceedings have identified, however, that their combined share is not sufficient for the transaction to result in restricting competition.

According to applicable regulations, a transaction is subject to notification to the anti-monopoly authority if it involves entrepreneurs whose combined turnover generated in the preceding year exceeded EUR 1 billion worldwide or EUR 50 million in Poland.

Decisions authorizing concentrations expire if the merger is not effected within 2 years from their issue. Information about all concentration-related anti-monopoly proceedings is published on the UOKiK’s website.
