Concentrations: Six decisions

The President of UOKiK has issued new decisions concerning the control of concentration. Pfizer Trading Polska will be given green light to acquire a part of assets of Zakłady Farmaceutyczne Polpharma and Swiss Pharma International.The remaining cases relate to transactions involving the following undertakings: Lafarge Kruszywa and Beton, OT Logistics, Dr Gerard, Elektrociepłownia Będzin and GDF Suez Energy Services International
Under the law, any transaction is subject to notification to the antimonopoly authority if it involves undertakings whose total turnover in the preceding year exceeded EUR 1 billion globally or EUR 50 mln in Poland.
The first of the recently issued decisions regards acquiring by Pfizer Trading Polska the rights to the medicine called Polocard from Zakłady Farmaceutyczne Polpharma and Swiss Pharma International. The acquiring undertaking belongs to the Pfizer capital group and deals, inter alia, with selling medicines produced by it. Zakłady Farmaceutyczne Polpharma and Swiss Pharma International are dependent entities of Genefar. The first entity operates within the production and sales of medicines and active ingredients. Swiss Pharma deals with e.g. acquring, exercising and managing the intellectual property rights and selling of active ingredients. Following this concentration, Pfizer Trading Polska will acquire any rights to the Polocard medicine. This transaction results from decision by the President of UOKiK of 2012, which made the consent to take control over Polfa Warszawa by Polpharma dependent on selling some medical products and related rights concerning it.
Another decision regards the acquisition of a part of assets of Górażdże Beton by Lafarge Kruszywa and Beton. The latter belongs to the Lafarge capital group and mainly deals with extracting and putting on the market natural aggregates, concrete and mortars. Górażdże Beton deals with manufacturing ready-mixed concrete and belongs to the capital group with HeidelbergCement in the lead. The concentration will consist in acquiring five concrete batching plants by Lafarge Kruszywa and Beton from Górażdże Beton.
Furthermore, the green light has been given to OT Logistics, operating chiefly within inland water transport, mainly regarding the Odra river. Hartwig Gdynia deals, inter alia, with providing cargo transportation and shipping services as well as storing cargo. As a result of concentration, OT Logistics will acquire 75% of shares in Hartwig Gdynia.
Furthermore, the President of the Office has given her consent to the takeover of Dr Gerard by Xativa. The entity to be acquired runs activity within the production and sale of cookies under the trade name Dr Gerard or its own-branded shops.
Also Przedsiębiorstwo Usługowe UTECH has been given a consent to concentration. It operates within financial services and according to this decision will be allowed to take over Elektrociepłownia Będzin, which deals with generating and wholesale of electric energy and heat system.
The last decision regards the takeover of Sydkraft EC Słupsk by GDF SUEZ Energy Services International. GDF SUEZ Energy Services International deals with acquiring undertakings operating within the sector of municipal technical infrastructure and services. Sydkraft EC Słupsk generates heat energy for municipal needs in Słupsk as well as provides heat transfer and distribution services.
Having conducted antimonopoly proceedings, the President of the Office decided that these concentrations will not result in a significant restriction of competition.
Decisions granting consent to implement a concentration expire if the merger is not completed within 2 years from the decision issue date.
