Sfinks taken over

The President of the Office of Competition and Consumer Protection has approved the takeover of the Sfinks company by AmRest. The enterprises are restaurant operators

The acquiring party runs and manages fast food restaurants, as well as waiter services. At present AmRest is operating under the following brand names: Pizza Hut, KFC Freshpoint, Rodeo Driver, Ice land, Burger King and Starbucks. Sfinks deals in the same field and manages Sphinx, Chłopskie Jadło and Wook restaurants.

Pursuant to UOKiK’s decision, AmRest shall take over 66% of the shares of Sfinks and obtain the majority of votes at the general meeting of the company’s shareholders.

Having carried out antimonopoly proceedings, the President of the Office for Competition and Consumer Protection determined that the transaction will not contribute to a significant lessening of competition. According to the analyses carried out by UOKiK, the structure of the market on which the enterprises operate indicates that there exists significant competition for the AmRest capital group.

Under the existing law, a transaction is subject to the notification to the President of UOKiK if it involves enterprises whose aggregate turnover in the preceding year exceeded EUR 1 billion globally or EUR 50 million in Poland.
