Merger consents
< previous | next > 05.08.2008
The President of UOKiK issued two merger consents. The decisions concern the acquisition of control over the LIM Medical Centre by Beatrice Investments and over Obory by Lactalis Polska
Beatrice Investments is a holding company set up in 2007, which has not undertaken business activity up to this point. It is controlled by Emerging Europe Convergence Fund II, managed by Mid-Europa Partners. As a result of the decision made by the President of UOKiK, the company will be able to acquire 100% of the shares of LIM Medical Centre, whose main activity is running medical centres across Poland. Mid-Europa is already present on this market - it owns e.g. Lux Med and Medycyna Rodzinna.
The other clearance concerns the acquisition of control over Obory by Lactalis Polska. The enterprises operate in the same industry and are involved, among other things, in the procurement of milk and the production and sale of dairy products.
Having completed the antimonopoly proceedings, the President of UOKiK decided that the mergers will not significantly lessen competition, in particular by creating or strengthening a dominant position on the market.
Under the existing law, a transaction needs to be notified to the antitrust agency if it involves enterprises whose total turnover in the preceding year exceeded EUR 1 billion globally or EUR 50 million in Poland.
