Philips to be partly acquired by Funai: consent to concentration

The President of UOKiK has granted her consent to the takeover of Philips by Funai Electric as regards the production and sale of electronic and audiovisual equipment

Funai Electric (Japan) and Koninklijke Philips Electronics (the Netherlands) – these two companies are participants to the transaction and leaders of capital groups operating inter alia in electonics industry. The concentration will result in Funai Electric acquiring a part of operations of the Philips capital group, including the development, production and sale of multimedia, audio and video products (e.g. headphones, loudspeakers, DVD and Blu-Ray Disc players, and home cinema) as well as home communication devices (DECT phones) and accessories (e.g. batteries, aerials, cables).

Having conducted the antimonopoly proceedings the President of UOKiK decided that this concentration would not result in a significant restriction of competition.

Under the law, any transaction is subject to notification to the antitrust authority if it involves undertakings whose total turnover achieved in the preceding year exceeds EUR 1 billion worldwide or EUR 50 million in Poland.

Decisions granting consent to concentration schemes expire if the merger is not completed within 2 years form the decision issue date.
