BASF, Ciech and Zachem - consent to concentration

The President of UOKiK has given her consent to BASF Polska to acquire a part of assets belonging to Ciech and Zachem Chemical Plant

The parties to the concentration operate in chemical industry. BASF Polska belongs to a German capital group producing, inter alia, adhesives, synthetic lubricants and car paints. Ciech is a manufacturer of soda ash, crop protection chemicals and fertilizers, while Zachem is a company that trades chemical products. As a result of the concentration, BASF Polska will purchase, from Ciech and Zachem, assets related to R&D activities, as well as to TDI marketing (a substance used, inter alia, for the production of polyurethane foams).

Having completed antitrust proceedings, the President of the Office decided that the concentration would not lead to a significant restriction of competition.

Pursuant to the applicable regulations, any transaction is subject to notification to an anti-trust authority if it involves undertakings whose total turnover achieved in the preceding year exceeds EUR 1 billion worldwide or EUR 50 million in Poland.

Decisions granting consent to concentration schemes expire if the merger is not completed within 2 years form the decision issue date.
